Terms of Service

These terms are an agreement between you and DukanUp for your use of the DukanUp app and services. By creating an account you accept them.

1. Agreement

You must be at least 18 and legally able to enter a contract. If you are accepting on behalf of a business, you confirm you are authorised to bind that business, and “you” means that business.

2. Your account

• Keep your login details confidential. Activity under your account is your responsibility.
• The owner of a shop controls who else has access and what role they hold.
• Tell us promptly if you believe an account has been compromised.
• Give us accurate details, and keep them current. We use them to reach you about your account.

3. Acceptable use

You agree not to:

• Use DukanUp for anything unlawful, or to record transactions you know to be fraudulent
• Resell, sublicense or white-label the service without our written agreement
• Reverse engineer, decompile or attempt to extract our source code
• Probe, scan or stress-test our systems, or bypass any limit, quota or access control
• Upload malware, or content that infringes someone else’s rights
• Use automated means to extract data at a scale that affects the service for others

4. Your data stays yours

You own everything you put into DukanUp: your bills, products, customers and reports. You grant us only the licence we need to host, process, back up and display that data in order to run the service for you.

You can export your data at any time while your account is active. On closure you may request an export before the data is deleted; see Delete your account.

You are responsible for having a lawful basis to record data about your customers and staff, and for telling them what you do with it.

5. Plans, payment and renewal

• Plan prices and inclusions are shown on the Pricing page and in the app, and are in Indian Rupees, inclusive of applicable taxes unless stated otherwise.
• Paid plans renew automatically at the end of each cycle through the mandate you authorised, until you cancel.
• Cancel any time from the app. Cancelling stops the next renewal; you keep the paid features until the end of the cycle you have already paid for.
• Upgrades take effect immediately. Downgrades take effect at the end of the current cycle. We do not remove features you have already paid for.
• If a plan lapses, you are moved to the Free feature set. Billing continues to work and your data is not deleted.
• We may change prices with at least 30 days’ notice. A price change never applies to a cycle you have already paid for, and a locked founding price holds for as long as that subscription stays active.

6. AI features

Sathi AI, Bill Scan, the daily brief and the monthly review are assistive. They can be wrong, incomplete or out of date. You must review anything an AI feature produces before relying on it, particularly drafts that become stock or purchase entries. We are not liable for decisions you take on the basis of AI output you did not check. AI usage may be subject to fair-use limits described on your plan.

7. Availability

We work to keep the service available, but we do not promise uninterrupted access. We may carry out maintenance, and we will give notice of planned downtime where we reasonably can. The app is designed so thatbilling continues during an outage and syncs afterwards.

8. Tax and compliance

DukanUp helps you produce GST-formatted invoices and reports. We are not your accountant or tax adviser. The accuracy of your GSTIN, tax rates, HSN codes and filings remains your responsibility, and you should have a qualified professional check them.

9. Our intellectual property

The DukanUp app, name, logo, designs and underlying software are ours. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing, and nothing more.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss of data beyond our obligation to maintain backups. Our total liability in any twelve-month period is limited to the amount you paid us in that period. Nothing here excludes liability that cannot lawfully be excluded.

The service is provided “as is” apart from the warranties we cannot exclude under Indian law.

11. Suspension and termination

You may close your account at any time. We may suspend or close an account that breaches these terms, does not pay, or is used in a way that puts the service or other users at risk. We will give notice, except where the breach is serious enough to require immediate action. Where we close an account, we will give you a reasonable opportunity to export your data first.

12. Governing law and disputes

These terms are governed by the laws of India. The courts of competent jurisdiction in India have exclusive jurisdiction. Before going to court, please write tosupport@dukanup.com. Almost everything is faster to fix that way.
